California Casino Partners with Vegas Sports Team

The San Manuel Band of Mission Indians in Southern California and the Raiders and Allegiant Stadium have announced a partnership in which San Manuel Casino will be designated a founding partner of the stadium and sponsor of the Raiders in Las Vegas beginning with the 2020 season.

The new relationship was announced at Raiders Preview Center in Las Vegas.

San Manuel Band CEO Loren Gill said, “The popularity of the Raiders in Southern California is unmatched. Through this partnership, we are thrilled to offer our guests more access to high-quality sports and entertainment.”

Raiders President Marc Badain stated, “We are pleased to have San Manuel Casino as a founding partner of Allegiant Stadium.” He added, “Together, we remain aligned in our dedication to providing our fans with the best-in-class experience.”

Also present was Lynn Valbuena, chairwoman of the San Manuel Band. “San Manuel is always about supporting the fans…giving our guests more access to thrilling sports and entertainment,” she said.

They celebrated the partnership on October 14 at a private party in Las Vegas.

Research Defines Sports Bettors, From Dedicated to Casual

Eilers & Krejcik Gaming research firm estimates the United States has 15 million active sports bettors, but says that number could triple by 2029 at legal sportsbooks.

The company has labeled seven unique sports-bettor personas as part of a study: sharps, high rollers, would-be pros, action chasers, superfans, status seekers and casual dabblers.

“We have a different set of profiles that range from the most generic public player to the sharpest of sharps and everything in between,” Westgate sportsbook vice president Jay Kornegay said.

Sharps are players who hold a persistent edge over the books and are primarily motivated by making a profit from sports betting.

“Sharps are winners, or aspire to be winners,” said Chris Grove, managing director of Eilers & Krejcik Gaming. “They’re investing the time, doing the work, getting the information, and they have the motivation as well. If your motivation is winning money, you’re going to bet in a different way and approach betting in a different way than someone who is looking for entertainment or has an affinity for a given sport.”

Sharps bet on numbers, not teams, and generally can be separated into two groups: market makers and steam chasers. The former represent the first bettors to wager on a game or prop and potentially move a line based on their own opinions, power ratings and models. Steam chasers bet on a game after the line moves.

Bookmakers and sharp bettors alike keep close watch on the odds screen at DonBest.com, which offers a service that provides real-time odds from Las Vegas and offshore books. When a line moves, the board will turn red and, typically within 30 seconds, virtually all of the books will change the point spread to the same number.

“Then all of these guys will try as fast as possible to get to their apps and bet their limits and they’re chasing steam,” said sports bettor David Halpern, a semiretired private equity investor who was featured on the Showtime docu-series Action.

Halpern said if you follow the money, you’re going to miss the best number by a point or two and the game will land on that point.

The betting public or recreational bettors make up the vast majority of the sports betting market and typically wager on the favorite.

“Casual players represent the largest sheer number of bettors,” Grove said. “But the greatest amount of activity or handle probably comes from the sharps, simply because they put in so much volume and are betting so often.”

Eilers & Krejcik defines would-be pros as aspiring sharps who can’t afford to devote the same amount of money, time and resources into betting.

  • Action chasers are gamblers first and foremost and the most likely sports bettor persona to cross over to any form of gambling. “For action chasers, the primary motivation is just because they enjoy the action. They like gambling,” Grove said.
  • High rollers typically wager large amounts of money on a small number of bets.
  • Superfans are sports fans first and bettors second and more heavily influenced by emotional connections to teams and players than sharps. “Gambling is just a way to add some additional flavor to the sports fan experience,” Grove said. “It makes the game a little more interesting.”
  • Status seekers thrive on public recognition, whether it’s winning a handicapping contest or bragging about their wins on Twitter.
  • Casual dabblers typically bet only on major sports events such as the Super Bowl. But they can develop into action chasers and move between other personas.

Nerd Street Partners with Five Below On eSports Centers

Philadelphia has Lincoln Financial Field, Citizens Bank Park and Wells Fargo Center.

Now add Nerd Street Gamers to the list. The company has raised $12 million in funding from Philadelphia discount retailer Five Below and others to build esports facilities that house leagues, training camps, tournaments, and showcases.

Other investors include Comcast, SeventySix Capital, Elevate Capital and angel investor George Miller. An article in the October 11 issue of Venture Beat called the agreement another example of an investment boom for eSports. Professional teams as well as amateur eSports players can use these centers. Amateurs can rent the spaces when needed.

Five Below and Nerd Street Gamers will build 3,000-square-foot spaces connected to select Five Below locations, beginning with a multi-store pilot in 2020. Based on the pilot results, the companies will determine future plans, which could include 70 or more locations over the next several years.

“This round of funding led by Five Below and the opportunity of locations connected to Five Below stores empowers our vision of a world where esports is accessible and inclusive for everyone,” John Fazio, CEO of Nerd Street Gamers, said in a statement. “Too few have access to the type of equipment and internet connections required to compete at the top levels, and by addressing that at a national scale we can increase real-life opportunities for millions of people.”

Partnering with one of the fastest growing and most successful retailers takes the mission another closer to reality, Fazio added.

Five Below, which has 850 stores in 36 states in the U.S., called the deal a unique opportunity to engage with a growing community of gamers across the country. “Gaming is a trend our younger customers are actively enjoying, and working with Nerd Street Gamers will help us to provide an exciting gaming experience while also showcasing our extreme value technology-related products and accessories,” said Joel Anderson, CEO of Five Below.

In addition to the connection to the retail chain stores, Nerd Street Gamers hopes to build 50 larger regional and university-based facilities. Last month, the company opened a 32,000-square-feet location in Huntington Beach, another in the Wells Fargo Center in Philadelphia, and announced plans to add a locale at Rowan University in Glassboro, New Jersey.

Google Cuts iGaming Some Slack

In welcome news for the gaming industry, technology and communications giant Google has announced it will remove its ban on sports-betting ads by the first quarter of 2020.

Though online gambling became legal in New Jersey, Nevada and Delaware in 2013, Google continued to ban online casino ads. In May 2018, when the Supreme Court ruled that individual states could legalize sports betting, Google decided to change its policy on sports betting ads.

Google launched a limited beta program in June that allowed sports-betting ads in Nevada, New Jersey, and West Virginia, then opened the doors in Indiana, Rhode Island, Pennsylvania and Montana. Google announced that it will also allow Colombia, Kenya and Nigeria to post ads.

Approved operators are now free to create promotional material that can be featured in Google Ads, Google Display Network, YouTube, and AdMob. But no gambling-related ads will be allowed through Google Ad Manager, the company announced. All advertisements must be sports-betting related, and cannot include casino games or anything deemed to target underage gamblers.

Facebook Considers Lawsuit in Gambler Case

Social media mammoth Facebook may file a lawsuit against The Spinner, a secretive UK-based startup that provides social media ad-targeting of individual users. The Spinner claimed that it has used Facebook to help gambling companies manipulate people into spending more money at online casinos, according to an article in Forbes this week.

The irony is that Facebook has allegedly influenced the outcome of elections, the products consumer select, sexualities and sexual values, and a sense of identity. The social media site has also been used to advertise gambling.

A small number of firms have tapped Facebook to more indirectly influence gamblers into visiting online casinos and gambling websites. They’ve been employing the services of The Spinner to provide “sniper targeting,” a practice that sees individual users targeted with a regular supply of posts focused on any given subject.

The Spinner has offered its help to people who’ve wanted to “brainwash” their wives into having sex more regularly with them, or who want to convince relatives to quit smoking, for instance. They do this by sending cookies to the targeted individuals, which when downloaded ensure that she or he ends up seeing articles on their Facebook and social media feeds with titles such as “Why you should initiate sex with your husband” or “Why quitting smoking could be the best decision you ever make.”

But now, Spinner spokesperson Elliot Shefler told Forbes that it’s also been receiving orders from a number of gambling companies that want to manipulate their customers.

“In 2019, a few online casino operators have started using this method to influence their existing players, mostly slots players, to login and play more often,” he said. “Those players are being exposed to hundreds of articles with titles like ‘Wisconsin man hits $1.3 million jackpot at Flamingo’ or ‘Lucky local cashes over $150K jackpot at Vegas-area casino’ on their feeds.”

Such posts are editorial articles published on major news sites, rather than paid-for ads that clearly and openly promote a particular service, product or company. The lack of transparency is morally questionable, given that gamblers are being led to believe that they’re seeing these articles only because they’re newsworthy. But the morally questionable element doesn’t stop there, because several recent reports hint that minors may be targeted by gambling companies using The Spinner’s services.

Numerous studies reveal that the number of children gambling online has increased significantly in recent years, with under-18 gamblers in the UK quadrupling between 2016 and 2018.

Shefler brushed off such comments. “We don’t pick the players,” he said. “The casino does.”

The Spinner claims that gambling companies which have used its services have seen their customers become “more engaged compared to players who weren’t exposed to the content, and showed improved results in terms of logins, average revenue per user and lifetime value.”

Shefler did not share accurate figures detailing this increased engagement. However, the fact that gambling companies are even trying to control players using this method is damning enough on its own account.

While The Spinner’s activities don’t reflect well on the social network, Facebook has responded to the London-based firm’s claims by affirming that it will take action. A spokesperson told Forbes, “We are taking enforcement actions against The Spinner and evaluating legal options. We have no tolerance for bad actors that try to circumvent our policies and create bad experiences for people on Facebook.”

The Spinner has violated several of Facebook’s policies, including having unacceptable business practices. Facebook doesn’t want businesses targeting single individuals and has measures in place to help prevent this. If true, The Spinner’s days of using Facebook to manipulate people may be numbered.

Gamblers Await Online Poker in Pennsylvania

Pennsylvania introduced online gambling almost three months ago, but online poker has yet to launch. The only information available is a series of leaked screenshots of a PokerStars PA test client. Judging from these, it’s safe to surmise that the product in Pennsylvania will be similar to New Jersey, and may feature lower buy-ins and higher guarantees.

The Pennsylvania Gaming Control Board is limited in what it can disclose without violating operator privacy. When asked about a launch date by PlayPennsylvania earlier this month, spokesman Doug Harbach said only that the PGCB believes “one of the operators should be in a position in the very near future to begin offering poker.” Other than that, he gave no definitive timeline.

However, recent events in New Jersey online gambling may shed some light. Most of the same companies operate in both states.

New Jersey is better-established, but is a smaller market so there are fewer unknowns, and the stakes are slightly lower. For many operators, including The Stars Group, it makes sense to roll out new products in New Jersey first. As an example, the new Fox Bet sports betting platform, debuted in New Jersey at the end of August, then launched in Pennsylvania a week later.

This week the Fox Bet mobile app in New Jersey added a tab for Poker Stars Casino games and advertised it to customers. The addition indicated cross-selling between PokerStars New Jersey products and Fox Bet will be a bilateral effort.

When Fox Sports and The Stars Group unveiled their deal in May, they didn’t talk about anything beyond sports betting. Some speculated that Fox might be concerned that other forms of gambling might tarnish its image. Indeed the games are still branded as PokerStars Casino and not Fox Casino.

If the delay is on the Stars Group’s end, it may be that TSG decided that getting the Fox Bet platform out for the beginning of the NFL season was paramount. But it may still want to synchronize the launch of its casino and poker verticals.

Getting approval—whether from the regulator or from Fox Sports—to integrate PokerStars Casino with Fox Bet may be a hold-up. It could be that the integration of PokerStars Casino into Fox Bet NJ means the same is coming to Pennsylvania. And if the company wants to launch PokerStars and its associated casino in tandem, both could arrive together.

Meanwhile, a potential rival for PokerStars in Pennsylvania is moving in the opposite direction. Parx Casino, outside of Philadelphia, just launched its NJ online casino in conjunction with GAN. The casino is located just across the river from New Jersey and within an easy drive of Atlantic City, so expect to see some overlap between customers gambling online in New Jersey and in-person at Parx. This, too, is significant to poker.

Parx is known for being one of the best destinations for live poker on the East Coast. It’s kind of a wild card for online poker in that regard, as neither Parx nor GAN has any history there. But it has the potential to be a viable competitor to PokerStars, PartyPoker and WSOP—at least in Pennsylvania.

It seems unlikely that Parx plans to synchronize a poker launch between Pennsylvania and New Jersey, or even to launch in New Jersey at all. The New Jersey online poker market is fairly saturated a Parx platform may have a hard time getting enough traffic to be sustainable.

That said, the launch of the Parx online casino in New Jersey is still relevant in that it’s one less item on the to-do list. Unlike TSG and some other competitors in Pennsylvania, the Parx platform is brand new. Parx has a better chance of succeeding in the Pennsylvania online poker market if it launches before things get crowded.

Pennsylvania was initially supposed to have eight casinos and nine sportsbooks, plus up to seven options for poker before the end of the year. None of that looks likely the way things are going, but it’s still a good bet that the PokerStars/Fox Bet duo will get all three up and running before the year is out.

GAN to Provide iGaming to Parx NJ

GAN Plc, a developer and supplier of enterprise-level B2B internet gaming software, services and online gaming content in the United States, struck a deal with Greenwood Gaming & Entertainment Inc., to provide internet gambling for Parx Casino in New Jersey. Parx launched its online gaming in the Garden State on October 4.

Parx patrons can also link their reward card online to their counterpart internet gambling account, enabled by GAN’s integration framework. This represents the second U.S. state that GAN has launched following the introduction of internet sports and casino gaming at Parx Casino in Pennsylvania over the summer.

“Launching the largest casino in Pennsylvania online has now logically extended across the border into New Jersey, expanding Parx Casino’s reach into New Jersey’s fast-growing and established Internet gambling market,” said Dermot Smurfit, CEO of GAN. “This represents an incremental revenue opportunity for GAN and is a logical extension of our technology infrastructure to serve Parx Casino patrons who routinely cross the invisible border between these two populous States.”

John Dixon, Chief Operating Officer of Greenwood Gaming & Entertainment, which owns Parx, said GAN had demonstrated its abilities to serve business needs in multiple states. “This aligns with the cross-border nature of our existing retail gaming customer base.”

Wire Act Plays Out in Federal Suit, Online Gaming at Stake

The United States Court of Appeals for the First Circuit has set the briefing schedule for both the Department of Justice (DOJ) and the plaintiffs in the lawsuit over the Wire Act and its applicability to online gambling.

The First Circuit said Attorney General William Barr and the DOJ needs to file their briefs and other necessary paperwork by November 12.

The New Hampshire Lottery Commission along with the other state lotteries and vendors that joined the suit have 30 days to respond after the DOJ files its brief. The DOJ’s reply brief is then due within 21 days after the plaintiffs respond, according to Online Poker Report.

The issue began with an opinion in 2011 at the request of New York and Illinois state lotteries to narrow the scope of the Wire Act. The opinion stated that the Wire Act applies only to sports betting across state lines but not other forms of gambling.

But a DOJ memo in 2018 expanded the interpretation to include all online play, and indicated that online gambling vendors and state lotteries now risk federal prosecution under this new interpretation. New Hampshire filed a federal lawsuit due to the DOJ’s abrupt about-face regarding the Wire Act. In June, U.S. District Court Judge Paul Barbadoro ruled in favor of online gambling and state lotteries by finding that the Wire Act only applies to sports betting and not other forms of interstate online gambling.

The DOJ filed a notice of appeal to the First Circuit in August. Meanwhile, the DOJ released another memo stating that Wire Act enforcement is postponed until 2020 or when litigation concludes on this case.

Once the briefs and motions are all filed, the First Circuit will then sets a date for oral arguments. Arguments occur before a panel of three judges. Oral arguments normally occur the first full week of each month, so the court could schedule them as soon as the first week of January 2020.

AC Mayor Resigns, Admits Stealing $87K from Kids’ Charity

Will the mayor of Atlantic City—make that the former mayor—soon trade his designer suits for prison stripes?

Last Thursday, Frank Gilliam pleaded guilty in a Camden, New Jersey federal court to committing wire fraud after stealing some $87,000 from a youth basketball team he co-founded in 2011. In addition to paying back the money, Gilliam faces up to 20 years in prison and a fine of “$250,000 or twice the gross gain or loss from the offense.”

The day he made his plea, New Jersey Governor Phil Murphy called on Gilliam to resign, calling his actions “despicable.” Before the day ended, Gilliam complied, saying he left office with “a heavy heart.” Atlantic City Council President Marty Small was sworn in as mayor the next day.

Gilliam stole the money from the AC Starz Basketball Club, a youth athletic program for boys. According to the FBI, he undertook major fundraising for the feel-good cause under “the false pretense that the contributions were for a youth basketball team and/or school supplies for underprivileged children.” He stole a total of $87,215 from the program and spent it “on luxury designer clothing, expensive meals, and personal trips to various locations.”

Gilliam posted a $100,000 bond and surrendered his passport before walking out of the courtroom into a swarm of news reporters and photographers. He was closemouthed as he left, but his mouthpiece, attorney Harry Rimm, issued a statement pointing out that his client did not steal from taxpayers, just disadvantaged schoolchildren.

“Mr. Gilliam, who is a lifelong resident of Atlantic City, has admitted his wrongful conduct, is accepting responsibility for his actions and is genuinely remorseful,” Rimm said. “Moreover, Mr. Gilliam has started paying restitution, making a voluntary payment today in connection with his plea. To date, and in advance of sentencing, Mr. Gilliam has paid back almost half of the restitution amount that the parties have agreed is owed.”

FBI Special Agent in Charge Gregory W. Ehrie fired back, saying, “When a scheme depletes charity for children, it’s unconscionable, but when the fraud is perpetrated by someone the public trusts, it damages the community’s confidence in their public servants. This defendant betrayed the trust of his community and of people who wanted to improve the lives of children.”

Murphy said Gilliam “squandered the trust and confidence of his community and of this administration to lead that community.”

U.S. Attorney Craig Carpenito said Gilliam “took advantage of his victims’ desire to assist underprivileged children by falsely representing that the money contributed to the AC Starz Basketball Club would go to pay for school supplies or to support youth basketball. Instead, he spent the money on himself.

“When a public official like Gilliam abuses either a public or a private trust to commit a fraud, this office and our agency partners will investigate and prosecute that official. The people of New Jersey are entitled to better.”

Gilliam made plenty of headlines last year. In November, he was involved in a brawl at the Golden Nugget Casino in Atlantic City but was not charged in that incident, which was captured on surveillance tape. In December, FBI and IRS agents raided his home, seizing computers and files; according to the Philadelphia Inquirer, the raid was presumably related to a dispute over a $10,000 campaign-finance check that came from the Atlantic County Democratic Committee, which Gilliam had deposited in his personal account.

The former mayor is the latest in a string of Atlantic City mayors found to have been involved in criminal activities. The Inquirer listed four out of the last eight office-holders:

  • Michael J. Matthews, arrested by the FBI in 1983 for accepting a $10,000 bribe from an undercover federal agent and for accepting money from Philadelphia mob boss Nicodemo “Little Nicky” Scarfo.
  • James L. Usry, arrested in 1989 for taking a $6,500 bribe from a state police informant as part of an alleged influence-selling conspiracy.
  • Bob Levy, a former lifeguard and Vietnam veteran, who embellished his military service to collect more benefits.
  • Two former Atlantic City mayors, Lorenzo Langford and William “Speedy” Marsh were required to repay the city for an $850,000 overturned settlement that they were fired due to political retribution. The funds were disbursed before an ethical review and when it was overturned, the two were forced to repay the money.

Now a member of that hall of shame, Gilliam will be sentenced on January 7.

New Jersey Tops Nevada in Sports Betting Three of Four Months

For the third time in four months, Nevada sports betting ceded its crown to New Jersey, this time in August. Licensed sportsbooks in Nevada saw close to $288 million in total wagers for the month, up about 16 percent from August last year, according to Legal Sports Report. New Jersey took in $293.5 million in wagers during the month.

Nevada operators won $18.7 million compared to $12.6 million last August, based on data from the Nevada Gaming Control Board.

Nationwide, the total handle across states with legal sports betting came close to $11 billion since the start of expanded wagering last June.

In Nevada, football betting accounted for more than two-thirds of the reported revenue. Much of that appears to come from NCAA and NFL futures wagers, as MLB handle still outpaced football more than two-to-one.

New Jersey policymakers established a new gold standard by installing a framework that fosters competition and innovation. Little more than a year since the launch sports betting in New Jersey is the largest in the country.

Pennsylvania is now online, threatening to take some of that traffic from neighboring New Jersey. In just their fourth month of mobile operations, the small group of online sportsbooks pushed a sports betting handle to $100 million in August. According to Legal Sports Report, Pennsylvania could be the largest market by the time Super Bowl or March Madness arrives.

It remains to be seen whether this represents a temporary overtake or an underlying shift in the long-term balance of power. Although Nevada still has what amounts to a regional monopoly on sports betting in the West, that balance is very much in flux in the eastern U.S.

Atlantic Club in AC Finds Another Buyer

What a long, strange trip this it’s been—and still is. At one time early in its life, the former Golden Nugget on the Atlantic City Boardwalk showcased Frank Sinatra performing on the stage of the Opera House and was featured in TV commercials with Steve Wynn.

This week, the building—vacant for five years—has found a new owner. Again. Florida real estate company TJM Properties said Tuesday it sold the former Golden Nugget hotel casino to Colosseo Atlantic City Inc., a New York investment and construction firm. The purchase price was not revealed.

Colosseo president Rocco Sebastiani said he plans to run the building as a non-gambling hotel.

“We’re going to renovate the property and reopen it as an 800-room hotel with new retail and new food and beverage offerings,” he told the Associated Press. Sebastiani said he was drawn to “the challenge” of turning around the historic property.

“It’s got a lot of renovating that needs to be done; that’s what we do,” he said. “We buy assets that need a lot of work and bring them up to market.”

The company does not have, nor does it plan to seek, a gaming license. A deed restriction prevents it from being used as a casino.

Three previous sales have fallen through. In December 2014, Pennsylvania firm Endeavor Property Group inked a deal to convert the property into senior citizen and multiunit housing. In April 2017, a local investment group led by investor Ronald Young signed an agreement, announcing plans for a family-friendly hotel, anchored by an indoor water park. But when financing dried up, so too did the water park plan, and the Atlantic Club went back on the market.

In September 2018, a proposed purchase with Stockton University as part of its new Atlantic City campus also died.

It closed in January 2014 and purchased by Tropicana Entertainment and Caesars Entertainment, with Caesars maintaining control of the buildings and property. Caesars then sold it to TJM for $13.5 million—with a deed restriction.

Prior to its operation as Atlantic Club—and after the Golden Nugget—the property was known as Bally’s Grand and simply the Grand.

MGM Settles October 1 Shooter Lawsuits

Only two days after the second anniversary of the deadly Route 91 music festive shootings in 2017, MGM Resorts announced it was ready to pay up to $800 million to settle lawsuits filed by the victims.

On October 1, 2017, Stephen Paddock began shooting from his 32nd floor hotel room in Mandalay Bay at the Route 91 country music festival being held on land owned by MGM across the Strip from the hotel. By the time he took his own life, 58 people had been killed and hundreds wounded.

With the number of lawsuits mounting, MGM sued to consolidate all the actions in one court that was designed to streamline the process and limit liability for the company. The strategy backfired, however, when MGM came under searing criticism from victims and social media activists alike.

In last week’s settlement, a lawyer for several of the victims said MGM had agreed to pay between $735 million and $800 million.

“While nothing will be able to bring back the lives lost or undo the horrors so many suffered on that day, this settlement will provide fair compensation for thousands of victims and their families,” attorney Robert Eglet said in a statement. He commented that the deal “represents good corporate citizenship” on the part of MGM.

With an estimated 4,500 victims, it’s unclear how the settlement would be divided. A court-appointed administrator will determine how much each victim will receive. But with the passing of the two-year statute of limitations for filing a claim, a settlement was logical. MGM insurers will contribute $751 million of the entire payout, with the company responsible for the remainder.

MGM Resorts Chairman and CEO Jim Murren said that the company wanted to put the tragedy behind it for the good of all involved.

“Prolonged litigation around these matters is in no one’s best interest. It is our sincere hope that this agreement means that scenario will be avoided,” said Murren.

John McManus, MGM’s general counsel, told the New York Times that it was time.

“MGM, and also the victims and their lawyers, recognized that years of litigation did not make sense, and there was risk in taking a case forward, and that it would take a tremendous emotional toll on the victims, the community and our company,” said McManus. “We wanted a consensual resolution to this case. We did not want to be fighting with the victims and their families.”

Lesniak Uncovers Insider Documents on Wire Act

Former New Jersey State Senator Ray Lesniak, a man instrumental in the push to overthrow PAPSA in the U.S. Supreme Court, tapped the Freedom of Information Act to seek documentation on the Department of Justice efforts to scuttle a 2011 interpretation of the 1961 Wire Act which permitted online gaming.

According to USBets, Lesniak got more than he bargained for, but not evidence that Sands owner Sheldon Adelson directed the effort to get rid of online gaming.

The 76 pages of documents point out the various efforts attempted to convince the feds reverse the 2011 position, and even more to retain that new status quo. The most notable backers for the amended DOJ posture are U.S. Senators Lindsay Graham (R-SC) and Dianne Feinstein (D-CA).

In a May 2017 letter to then-Attorney General Jeff Sessions, the senators remind him that during his confirmation, Graham expressed shock that the Obama administration approved of gambling outside of sports betting. Sessions added that he would “revisit” the issue as attorney general.

“It is our hope that your careful study of the opinion has exposed its flaws and that you restore the department’s longstanding practice of enforcing the Wire Act against online gambling by revoking the opinion,” the senators wrote.

Sessions also received a letter that month from three Democratic members of the House of Representatives—Henry Cuellar of Texas, Dan Lipinski of Illinois, and Emanuel Cleaver of Missouri—asking Sessions to “consider withdrawing” the DOJ opinion that led to several states legalizing online casino gaming.

The congressmen wrote, “Internet gambling is not a partisan issue. It’s one we believe should be more closely examined by policy makers in Congress before being allowed to expand any further.”

Republican Jon Bruning—counsel for the Coalition to Stop Internet Gambling, which has ties to Adelson—made his case in a July 2017 letter to then-Deputy Attorney General Rod Rosenstein.

“I served as Nebraska’s top law enforcement officer for 12 years,” Bruning wrote. “During that time I observed firsthand the threats to our children and most vulnerable citizens lurking on the internet and was a strong advocate for protecting my citizens from illegal activity prevalent online. This is why I was extremely troubled when President Obama’s Department of Justice reversed a longstanding interpretation of the Wire Act to permit online gambling.”

Other documents show that Sessions and Rosenstein received a request from the NFL and NCAA in May 2018 seeking a meeting in the wake of the U.S. Supreme Court ruling in favor of New Jersey that allows any state to offer sports betting. It said, “While we respect the court’s ruling, the absence of a clear and enforceable legal standard for sports betting threatens the integrity of our nation’s professional and amateur sports contests—something both Congress and the U.S. Department of Justice have sought to protect for the last 50 years. To protect the integrity of our games in a post-PASPA environment, we urge the U.S. Department of Justice to immediately act, in concert with Congress, to create statutory and regulatory standards for sports betting in the United States.”

Sessions’ successor, acting Attorney General, Matthew Whitaker, then directed top aides to set up a meeting with the NFL and NCAA.

There also is a February 2017 legal analysis from the law firm to the Coalition to Stop Internet Gambling that does a deep dive into Congressional political sentiment in the 1950s that leads to the Wire Act of 1961. The details appear to suggest that members of Congress were indeed concerned about interstate gambling issues beyond just sports betting.

Former Congressman and presidential candidate Ron Paul wrote a letter on behalf of his Campaign for Liberty organization in June 2017 seeking a lesser role for government after Sessions opposed the 2011 opinion.

“The claim that the Wire Act authorizes a federal ban on online gambling does not survive serious scrutiny for a number of reasons,” Paul wrote. “First, the law was passed more than three decades before the internet was widely used. In fact, when the Wire Act was debated, the idea that average Americans would someday carry devices more powerful than the era’s supercomputers was too fanciful even for science fiction.

Another objection to the January 2019 DOJ policy change that threatens to limit online gambling came two months later from attorneys for IGT, which bills itself as “the largest lottery service provider in the United States, and the largest end-to-end gaming company in the world” provided a white paper that stressed the confusion in the lottery the DOJ ruling had.

“Without further clarity, IGT and its state partners could soon face the Hobson’s Choice of shutting down their lottery businesses, fundamentally restructuring that business with upfront and ongoing costs, or risking criminal prosecution. We believe that none of this should be necessary, because the Wire Act does not apply to state lotteries.”

Forget the Sum of Caesars’ Parts—It’s the Parts That Count

If you owned Caesars Entertainment, you could make a ton of money selling it piece by piece.

This seems fairly obvious in today’s investment climate, awash as it is in cheap capital and teeming with private equity funds and real estate investment trusts hungry for assets. We’ve seen this amply played out in the last couple of weeks when Caesars pocketed $516 million unloading the Rio Hotel and Casino just west of the Las Vegas Strip to a private real estate investor from New York.

Consider that in the U.S. alone, not counting overseas holdings and tribal gaming, at the start of 2019 Caesars owned or operated 33 casino hotels and racinos and related assets, and if you want to include it, a racetrack in Kentucky. Eight of these are smack-dab at the center of the Las Vegas Strip.

Arguably, this is what corporate raider Carl Icahn saw when he moved quickly from roughly January through March to buy his way into effective control of this massive portfolio.

In Eldorado Resorts, which just a few months later sealed a $17.3 billion deal for cash, stock and debt to take it off his hands at a tidy profit, it appears he found a savvy strategist that shared his vision.

Caesars is the capstone to a five-year buying spree that has seen Eldorado transform itself from a small, privately owned Reno operator into a publicly traded regional gaming powerhouse with 26 casinos in 12 states. Of course, it hasn’t coming cheap. El Dorado will be balancing roughly a $15 billion debt load when the Caesars transaction closes sometime in the first half of next year.

We don’t have to go back that far to see how something like this could go very wrong.

The last guys to tuck into a meal of this size—private equity giants Apollo Global Management and TPG Capital—were the ones who engineered a leveraged buyout of Harrah’s Entertainment that saddled what would shortly become Caesars Entertainment with some $21 billion of debt.

Then came the global financial crisis and the Great Recession. Nobody was gambling, nobody was vacationing, and it was all the Las Vegas-based large caps could do to remain solvent. MGM Resorts and Las Vegas Sands had Macau and Singapore to dig them out. Caesars didn’t. A lot of financial legerdemain ensued. Everything, it seems, but a badly needed sell-off. Ultimately, Caesars’ largest operating subsidiary had to be sheltered in U.S. Bankruptcy Court and the entire company went into a reorganization that took more than two years to complete. The share price would never fully recover; but when it was over, Apollo and TPG were gone; and the company finally had hit upon a way to begin stripping the latent value out of its sprawling holdings: a gaming/hospitality REIT, VICI Properties.

Which brings us back to Eldorado. If there’s anything that separates Caesars under Icahn and Eldorado and what befell it under Apollo and TPG—aside from the possibility of a luckier break in the larger economy—it’s this.

“To sell properties for cash is smart. What Caesars is doing now is what it should have been doing for the past 10 years,” says Steve Gallaway, managing partner of Global Market Advisors, which specializes in uncovering growth opportunities in gaming markets worldwide.

“Why do they need so many mid-level properties? They don’t.”

Gaming-REIT partnerships are nothing new. Penn National Gaming led the way in exiting the real estate business in 2013 with the creation of separately traded Gaming and Leisure Properties. MGM followed with MGM Growth Properties, which now owns all of its gaming real estate with the exception of Bellagio, MGM Grand, Circus Circus and the new MGM Springfield in Massachusetts.

Springfield is under an option to MGM Growth, while recent news reports have it that separate deals are in the offing for Bellagio and the Grand (to Blackstone Group, which is already on the Strip with the Cosmopolitan) and Circus Circus (to Phil Ruffin, who also is on the Strip with the TI, which he bought from MGM during the recession). Bloomberg Intelligence gaming analyst Brian Egger believes Bellagio and the Grand could fetch upwards of $7 billion as a pair. Estimates surrounding Circus Circus price it in the neighborhood of $850 million. That’s a lot of money, even for MGM. Then again, MGM has its sights on a $10 billion super-resort in Osaka, Japan.

“It’s simply that they have the opportunity to monetize the real estate and to fund expansion,” Egger explained in a recent interview with GGB News. “It’s about balancing competing objectives: to keep leverage within manageable levels and pursue Japan.”

Gallaway loves the Circus Circus deal, for one, as much for its sizable land bank as the cash cow of a casino (though one in need of some TLC) that sits on a portion of it. “It’s just a win-win,” he told GGB News. “A great development play. I don’t know how Ruffin can go wrong with that.”

Divesting non-core assets is a strategy in which El Dorado is well-versed. In essence, last year’s $1.9 billion deal with Icahn for Tropicana Entertainment was a partnership with Gaming and Leisure Properties in which GLPI acquired all the real estate except for a resort in Aruba (which was sold separately) and casinos in St. Louis and Lake Tahoe. Separately, deals have been struck to transfer two casinos in Pennsylvania to Churchill Downs. Isle of Capri Kansas City and Lady Luck Vicksburg have been sold to Twin River Holdings. A casino in West Virginia and two in Missouri have been sold to VICI, a deal El Dorado then capped off by selling its equity interest in the three to Century Casinos, a kind of double-dipping, if you will, that could prove very lucrative in their approach as future tenants of VICI’s growing portfolio on the Las Vegas Strip.

VICI owns 21 of Caesars’ casino hotels and racinos and has put/call options on two recently purchased racinos in Indiana, which can be exercised in a few years. It was announced recently that, as previously agreed, VICI will acquire Harrah’s New Orleans, Harrah’s Atlantic City and Harrah’s Laughlin for a combined $1.8 billion. This deal gets finalized with the closing of the merger with Eldorado, which means the money goes to the new owners. VICI already owns Caesars Palace and Harrah’s Las Vegas and has an agreement to acquire the Octavius Tower at Caesars Palace. It also has right of first refusal on Bally’s, Paris, Flamingo, the Linq, Planet Hollywood, Caesars Forum Shops and Horseshoe Baltimore, all of them contingent on completion of the merger. So, if they happen, that money goes to El Dorado too. That leaves one casino hotel on the Las Vegas Strip, the Cromwell.

For the most part then, Eldorado has embarked on this epic transaction not as an owner but as an operator and management company. Which implies that whatever they decide to sell𑁋and management has indicated they will be sellers; indeed, the debt load would seem to demand it𑁋it will be lease holdings on a big chunk of the center Strip and a regional portfolio that is still one of the largest and most diverse in the country.

What Gallaway sees in this is an enormous opportunity for a slew of private companies, many possibly new to gaming, and a range of smaller regional operators to get into the business or expand what they have.

As he puts it, “If you’re Eldorado you’ve got to raise money. Got it. So, what are you going to look at? How do I make these operations more efficient? And what properties, strategically, do we no longer need? Like the Rio. That’s ultimately why you do a REIT.”

It’s what Apollo and TPG didn’t quite get.

“If you’re in for the long haul,” he maintains, “you don’t want to be too big. El Dorado is in for the long haul.”
